Terms of Service

Effective date: March 16, 2026

These Terms of Service ("Terms") govern your access to and use of the Tokumeika document anonymization service at www.tokumeika.com (the "Service"), operated by K.K. Best Path Research (株式会社 Best Path Research) ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements.

2. Account Registration

  • You must provide a valid email address and create a password (or authenticate via Google OAuth) to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us immediately at privacy@tokumeika.com if you suspect unauthorized access to your account.
  • We strongly recommend enabling multi-factor authentication (MFA) for additional security.
  • You may not create multiple accounts to circumvent usage limits, abuse free-tier benefits, or evade a prior account suspension.

3. Description of the Service

Tokumeika is a document anonymization service that:

  • Accepts document uploads in various formats (PDF, DOCX, TXT, images, and others).
  • Scans uploaded files for malware.
  • Extracts text from documents using OCR and direct extraction.
  • Detects personally identifiable information (PII) using pattern matching and natural language processing.
  • Redacts or encrypts detected PII in the document text and file.
  • Provides an optional AI chat feature for reviewing and refining anonymization results.
  • Allows downloading the anonymized output file.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

  • Upload files that contain malware, viruses, or other malicious code.
  • Upload content that is illegal in your jurisdiction or in Japan.
  • Upload content depicting child sexual abuse material (CSAM) or any content that exploits minors.
  • Use the Service to facilitate identity theft, fraud, or any other criminal activity.
  • Attempt to circumvent security measures, rate limits, or access controls.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated tools (bots, scrapers, etc.) to access the Service without our prior written consent.
  • Resell, sublicense, or redistribute the Service or its output without our prior written consent.
  • Interfere with or disrupt the Service or the servers and networks connected to it.
  • Impersonate another person or entity.

We reserve the right to suspend or terminate your account immediately and without notice if we reasonably believe you have violated these terms.

5. Your Content

5.1 Ownership

You retain all ownership rights to the documents you upload and the anonymized output files generated by the Service. We do not claim any ownership interest in your content.

5.2 License to Operate

By uploading a document, you grant us a limited, non-exclusive, temporary license to store, process, and transform the document solely for the purpose of providing the Service to you. This license terminates when the document is deleted (either manually by you, automatically upon retention expiry, or upon account deactivation).

5.3 Your Responsibility

You are solely responsible for:

  • Ensuring you have the legal right to upload and process the documents you submit.
  • Complying with all applicable data protection laws (including GDPR, APPI, CCPA, and others) regarding the personal data contained in your documents.
  • Obtaining any necessary consents from data subjects whose personal data appears in documents you process.
  • Verifying that the anonymization results meet your requirements before relying on them. The Service uses automated detection methods that may not identify all personal information in every case.

6. Disclaimer of Accuracy

The Service uses automated pattern matching, natural language processing, and optical character recognition to detect and redact personal information. These technologies are not infallible.

We do not guarantee that:

  • All personal information in a document will be detected and redacted.
  • The Service will not occasionally redact non-personal information (false positives).
  • OCR extraction will be 100% accurate for all document types, languages, or image qualities.
  • The AI chat feature will provide correct or complete responses.

You should always review anonymized output before distributing or publishing it, particularly for documents containing highly sensitive information. The Service is a tool to assist with anonymization, not a substitute for human review.

7. Subscription Plans and Billing

7.1 Plans

The Service offers both free and paid subscription plans. Each plan includes specific limits on the number of files, processing runs, file sizes, and other features as described on our Pricing page.

7.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method through Stripe on a recurring basis until you cancel.

7.3 Credits

AI chat usage consumes credits from your balance. Paid plans include a monthly credit allowance that resets each billing cycle. Additional credits may be purchased separately. Unused credits do not carry over between billing periods unless otherwise stated.

7.4 Plan Changes

You may upgrade or downgrade your plan at any time through the Stripe customer portal. Upgrades take effect immediately. Downgrades take effect at the end of the current billing period.

7.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. After cancellation, your account reverts to the Free plan.

7.6 Refunds

We generally do not offer refunds for subscription fees already paid. However, if you believe you have been charged in error or have experienced a significant service disruption, please contact us at privacy@tokumeika.com and we will review your request on a case-by-case basis.

8. Organizations

If you use the Service as part of an organization:

  • Your organization's administrator may set policies that apply to your account, including mandatory processing modules and document retention periods.
  • Other members of your organization may have access to documents you upload while associated with the organization.
  • If you leave an organization, your personal subscription (if any) will be cancelled and you will be downgraded to the Free plan.
  • The organization's administrator is responsible for ensuring that the organization's use of the Service complies with applicable laws.

9. Intellectual Property

The Service, including its software, design, logos, and documentation, is the property of K.K. Best Path Research and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features.

10. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

11. Data Processing

To the extent that you process personal data of third parties using the Service (e.g., documents containing other people's personal information), you act as the data controller and we act as the data processor. In such cases:

  • You instruct us to process the data solely to provide the Service as described in these Terms.
  • We will process the data only according to your instructions and will not use it for our own purposes.
  • We implement the technical and organizational security measures described in our Privacy Policy.
  • Upon document deletion or retention expiry, we permanently delete the personal data as described in Section 7 of the Privacy Policy.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when practical).
  • Unscheduled outages caused by hardware, software, or network failures.
  • Events beyond our reasonable control (force majeure).

We are not liable for any loss or damage resulting from Service downtime.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
  • We do not warrant that the Service will detect all personal information in your documents or that anonymized output will be free of all personal data.
  • In no event shall K.K. Best Path Research, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
  • Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless K.K. Best Path Research and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third party's rights, including intellectual property rights or privacy rights.
  • The content of documents you upload to the Service.

15. Termination

15.1 By You

You may deactivate your account at any time from the Settings page. Upon deactivation, your login is disabled, your subscription is cancelled, and your personal data is scrubbed as described in our Privacy Policy.

15.2 By Us

We may suspend or terminate your account at any time if:

  • You violate these Terms or our Acceptable Use policy.
  • Your use of the Service poses a security risk to us or other users.
  • We are required to do so by law.
  • We discontinue the Service (with at least 30 days' prior notice).

15.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 5.1 (ownership), 6 (disclaimer), 13 (limitation of liability), 14 (indemnification), and 17 (governing law) survive termination.

16. Modifications to the Terms

We may modify these Terms from time to time. When we make material changes, we will:

  • Update the "Effective date" at the top of this page.
  • Notify registered users by email at least 14 days before the change takes effect.
  • Display a prominent notice on the Service.

Your continued use of the Service after the new effective date constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and deactivate your account before the effective date.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court (Tokyo Chiho Saibansho) as the court of first instance.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and K.K. Best Path Research regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, wars, terrorism, pandemics, labor disputes, government actions, power failures, internet disruptions, or cyberattacks.
